These Terms of Service ("Terms") govern your use of the website highontales.com and the services provided by High on Tales (the "Company"). By accessing our website and using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services.
1. Services
High on Tales provides custom eLearning development services, including but not limited to:
- Custom course development and instructional design
- Microlearning module creation
- Gamification and interactive content design
- Animation and video production
- Learning Management System (LMS) integration
- SCORM and xAPI development
- Consultation and learning strategy services
2. Engagement and Scope
Proposal and Acceptance: Services are provided based on a written proposal or engagement letter signed by both parties. This document will clearly define the scope, deliverables, timeline, and costs.
Scope Changes: Any changes to the agreed scope must be documented in writing and may result in additional costs and timeline adjustments.
Timeline: Delivery timelines are estimates and may be subject to change based on client feedback, revisions, and other factors beyond our control. We will communicate any delays promptly.
3. Intellectual Property Rights
Work Product: Upon full payment, the client receives ownership of custom-developed eLearning content and materials created specifically for your organization.
Pre-existing IP: High on Tales retains ownership of all tools, frameworks, methodologies, templates, and pre-existing intellectual property used in the creation of content.
Third-Party Content: Any third-party content (images, music, fonts, stock assets) is licensed for use in the final deliverable. Clients may not resell or redistribute this content outside the context of the learning program.
Attribution: Clients may include a brief attribution to High on Tales in course materials, though this is not required.
4. Payment Terms
Billing: Invoices are issued according to the engagement schedule (typically 50% upon project start, 50% upon delivery).
Payment Methods: We accept bank transfers, credit cards, and other mutually agreed payment methods.
Late Payment: Invoices are due within 30 days of issuance. Late payments may result in a 1.5% monthly interest charge and may delay project timelines.
Currency: All payments are in INR (Indian Rupees) unless otherwise agreed in writing.
5. Confidentiality
Confidential Information: Both parties agree to maintain confidentiality regarding sensitive business information, learner data, and proprietary content shared during the engagement.
NDA: We are happy to sign a Non-Disclosure Agreement (NDA) prior to discussing your project. Standard NDAs are typically executed before any detailed consultation.
Permitted Disclosure: High on Tales may use anonymized case studies and general references to your project for portfolio and marketing purposes, unless you request otherwise in writing.
6. Client Responsibilities
Timely Feedback: Clients are responsible for providing timely feedback, approvals, and revisions to maintain project momentum.
Content Provision: Clients must provide source materials, subject matter expert input, and existing documentation in a timely manner.
Testing and Review: Clients are responsible for end-user testing and final quality assurance within their organization.
Decision Authority: Clients must designate a primary point of contact with decision-making authority to approve deliverables and changes.
7. Revisions and Change Requests
Included Revisions: The engagement typically includes a specified number of revision rounds. Additional revisions beyond the agreed amount may incur additional charges.
Major Changes: Requests that significantly alter the scope (e.g., adding new modules, changing the platform, redesigning modules) will require a change order and may impact the timeline and cost.
Approval Process: Revisions and changes must be documented in writing to ensure clarity and maintain project records.
8. Warranties and Disclaimers
Quality Assurance: High on Tales warrants that all deliverables will be created with professional care and attention to instructional design best practices.
No Guarantee of Results: While we design learning programs for behaviour change and measurable outcomes, we cannot guarantee specific results. Learning effectiveness depends on implementation, organizational support, and learner engagement.
Third-Party Tools: We are not responsible for issues with third-party platforms, LMS tools, or hosting services beyond our control.
9. Limitation of Liability
Maximum Liability: High on Tales' total liability for any claim arising from this engagement shall not exceed the amount paid by the client for the specific service that gave rise to the claim.
Exclusions: We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost business opportunities.
10. Governing Law
These Terms of Service are governed by the laws of the Republic of India, specifically the laws applicable in Madhya Pradesh. Any legal proceedings arising from this agreement shall be subject to the exclusive jurisdiction of courts in Bhopal, India.
11. Dispute Resolution
Informal Resolution: In case of disagreement, both parties agree to attempt resolution through good-faith discussion and negotiation before pursuing formal legal action.
Escalation: If informal discussion does not resolve the issue, either party may pursue mediation or arbitration as appropriate under Indian law.
12. Termination
By Client: Clients may terminate the engagement with written notice. If terminated before project completion, clients are responsible for payment of work completed to date plus any non-recoverable expenses.
By High on Tales: High on Tales may terminate the engagement if the client fails to pay invoices, violates confidentiality, or engages in unethical conduct. Reasonable notice will be provided.
Work Suspension: If project work is suspended for more than 60 days due to client non-responsiveness, we reserve the right to reprioritize resources.
13. Website Use
License: We grant you a limited, non-exclusive license to access and use our website for lawful purposes.
Prohibited Activities: You agree not to:
- Reproduce, distribute, or transmit content without permission
- Attempt to gain unauthorized access to our systems
- Engage in any form of harassment or illegal activity
- Use scraping or automated tools to extract data
14. Modifications to Terms
High on Tales reserves the right to modify these Terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our website constitutes acceptance of modified Terms.
